1. Acceptance of Terms
By accessing or using Reflect Memory ("Service"), including the website at reflectmemory.com, the API at api.reflectmemory.com, and any dashboards, integrations, or tools, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
References to "Reflect Memory," "we," "us," or "our" include the operators of the Service and any successor entity that may be formed to operate it (including any future incorporated company).
2. Description of Service
Reflect Memory is a cross-agent memory system that lets you store, manage, and share information with AI tools (such as ChatGPT, Claude, Gemini, Cursor, and others) via API, MCP (Model Context Protocol), and integrations. The Service includes a dashboard for viewing and managing memories, an API for programmatic access, and connectors that enable AI applications to read and write memories on your behalf.
You retain full control over your data. You decide what gets stored, who can access it via vendor permissions, and when it gets deleted. Our Privacy Policy describes how we collect, use, and protect your information.
3. Account and Access
To use the Service, you may need to create an account or obtain API credentials. You are responsible for: (a) providing accurate information; (b) keeping your credentials secure and confidential; (c) all activity that occurs under your account or using your credentials. You must notify us promptly of any unauthorized use.
You must be at least 16 years old and able to form a binding contract to use the Service. Accounts may be subject to verification and we reserve the right to refuse or limit access.
4. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws
- Store, transmit, or facilitate content that infringes intellectual property, defames others, or violates privacy rights
- Store or distribute malware, phishing materials, or content that harms minors
- Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks
- Circumvent rate limits, abuse the API, or overload our infrastructure
- Use the Service to build a competing product or service without our prior written consent
- Resell, sublicense, or redistribute the Service except as expressly permitted
We may suspend or terminate access, remove content, or report illegal activity to authorities when we reasonably believe these terms or the law have been violated. We are not obligated to monitor your use but may do so to protect the Service and others.
5. Your Content and Data
You own the content you store in Reflect Memory ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, process, and transmit Your Content solely to provide the Service to you. We do not use Your Content to train AI models, for advertising, or for any purpose other than operating the Service.
You are solely responsible for Your Content. You represent that you have all rights necessary to store it and that it does not violate these Terms or any third-party rights. We may remove content that we reasonably believe violates these Terms or the law, but we have no obligation to monitor or screen content.
When you delete content, we will purge it from active storage within our retention window (typically 30 days for trashed items). Backups may retain data for a limited period as described in our Privacy Policy.
6. Third-Party Integrations and AI Tools
The Service integrates with third-party AI platforms (e.g., OpenAI, Anthropic, Google) and tools that you connect. Your use of those services is subject to their respective terms and policies. We are not responsible for their availability, accuracy, or conduct. Data sent to AI providers when you use features such as query or summarization is governed by their policies.
You are responsible for configuring which vendors can access your memories and for the actions those tools take on your behalf. We do not control how AI applications use or interpret your data.
7. Service Availability and Modifications
We strive to maintain availability but do not guarantee uninterrupted access. The Service may be modified, suspended, or discontinued with reasonable notice where practicable. We may make changes to address security, legal requirements, or operational needs with shorter or no notice when necessary.
We may introduce new features, pricing, or limits. Continued use after changes constitutes acceptance. If you do not agree to material changes, you may stop using the Service and request account deletion.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. We do not warrant that the Service will be error-free, secure, or uninterrupted. We do not warrant the accuracy or reliability of any AI-generated outputs or third-party content.
Some jurisdictions do not allow exclusion of implied warranties, so the above may not apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLECT MEMORY, ITS AFFILIATES, AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limits apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability for incidental or consequential damages, so the above may not fully apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Reflect Memory, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms or any applicable law; or (d) your violation of any third-party rights. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
11. Intellectual Property
Reflect Memory and its licensors own all rights in the Service, including the software, design, branding, and documentation. These Terms do not grant you any rights to our trademarks, logos, or code except as necessary to use the Service. You may not copy, modify, distribute, or create derivative works of our Service without written permission.
12. Termination
You may stop using the Service at any time. You may request account deletion by contacting us; we will process the request and purge your data in accordance with our Privacy Policy.
We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, engage in abusive conduct, or for any other reason we deem necessary to protect the Service or others. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.
You agree that any claim must be brought within one (1) year after the cause of action arose, or it will be permanently barred.
14. General
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reflect Memory regarding the Service and supersede any prior agreements.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
